OSTADJI TERMS AND CONDITIONS

These Terms and Conditions govern your access to and use of the websites, pages, platforms, products, programs and services operated under the Ostadji brand.

In these Terms, “Ostadji”, “we”, “us” and “our” refer to the legal entity operating Ostadji. “You”, “your”, “client”, “customer”, “participant” or “user” refers to the individual or organisation accessing our Website, purchasing a Program or engaging our Services.

Please read these Terms carefully. By accessing or using our Website, you agree to the provisions of these Terms relating to Website use. By purchasing a Program, making a payment, accepting a proposal, signing an order form or using our Services, you agree to the provisions applicable to that purchase or engagement.

If you do not agree with these Terms, you must not use our Website, Programs or Services.

1. Scope of These Terms

These Terms apply to:

  • ostadji.com;
  • any Ostadji checkout, payment, registration or landing page;
  • online and in-person training programs;
  • workshops, masterclasses, mentoring and corporate training;
  • digital marketing, consulting and creative services;
  • SEO, AEO, GEO and search visibility services;
  • Google Ads and social media advertising services;
  • landing-page development and conversion-rate optimisation;
  • AI agents, chatbots, content generation and automation services;
  • e-commerce and marketplace activation;
  • audits, strategy sessions, reports, templates and digital materials;
  • community groups, recordings and participant support;
  • Ostadji blogs, articles, resource pages, newsletters and downloadable public content;
  • any current or future Ostadji-owned or controlled YouTube, social media, podcast, webinar or other content channel; and
  • any other service, subscription, package, product or content offered or published by Ostadji.

Where you have signed a separate proposal, statement of work, service agreement, order form or corporate training agreement, that document forms part of your contract with Ostadji.

If there is a conflict, the following order of priority applies:

  1. A signed service agreement or statement of work;
  2. A written proposal or order form;
  3. Specific terms displayed and accepted on the relevant Program or Service page at the time of purchase;
  4. These Terms and Conditions;
  5. Our Privacy Policy and other legal policies.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding contract.

A person under 18 may participate only where:

  • a parent or legal guardian completes the enrolment;
  • the parent or guardian accepts these Terms;
  • payment is made or authorised by the parent or guardian; and
  • any required supervision or safeguarding arrangements are followed.

If you are accepting these Terms on behalf of a business, employer or organisation, you confirm that you have authority to bind that organisation.

You agree to provide complete, accurate and current information when submitting an enquiry, making a booking or purchasing a Service.

3. Electronic Acceptance and Communications

You agree that electronic actions may form a legally binding agreement, including:

  • selecting an “I agree” checkbox;
  • making an online payment;
  • accepting a proposal by email or message;
  • submitting a registration form;
  • signing electronically;
  • accessing paid materials; or
  • beginning to use a Service.

You consent to receive operational communications by email, telephone, SMS, WhatsApp or other contact details provided by you. These may include payment confirmations, Program links, schedule updates, account notices, support messages and information necessary to deliver the Service.

Marketing communications are handled separately and may be withdrawn or unsubscribed from at any time.

4. Website Information

We aim to keep information on our Website accurate and current. However:

  • content may occasionally contain typographical, technical or pricing errors;
  • Program schedules, trainers, tools, curriculum and availability may change;
  • screenshots, examples, illustrations and case studies may be presented for explanatory purposes;
  • third-party platform features may change without notice; and
  • Website content may not always reflect the latest version of a third-party tool or advertising platform.

We may correct errors, update information, withdraw an offer or cancel an incorrectly priced order.

Where you have already paid and we cannot provide the purchased item at the confirmed price, we will offer an appropriate alternative or refund the affected payment.

5. Educational and General Information Disclaimer

Website articles, videos, social media posts, podcasts, newsletters, webinars, workshops, templates, consultations and Program materials are provided for educational and general business purposes.

They do not constitute legal, financial, tax, accounting, medical, employment, immigration or regulated professional advice.

You remain responsible for obtaining independent professional advice before making decisions that may have significant legal, financial or regulatory consequences.

6. Online, Social Media and Educational Content

These Terms also apply to content published by or on behalf of Ostadji on any current or future Ostadji-owned or controlled channel, including our Website, blog, YouTube, Instagram, Facebook, LinkedIn, TikTok, X, podcasts, newsletters, webinars, community groups and similar platforms (collectively, “Content”).

The Content is provided for general educational, informational and commentary purposes. It is based on information, experience and opinions reasonably available to Ostadji at the time of publication and is shared to the best of our knowledge. We do not represent or warrant that any Content is complete, current, error-free, suitable for every user or applicable to every business, industry or jurisdiction.

Tools, platforms, algorithms, laws, prices, features, offers and third-party terms may change after Content is published. Ostadji is not required to update, correct or remove older Content, although we may do so at our discretion.

Examples, demonstrations, case studies, forecasts, screenshots and reported results are illustrative only and do not guarantee that you will achieve the same or any result.

Before acting on any Content, you must independently verify relevant facts, assess whether the information is suitable for your needs, review current laws and third-party terms, and obtain appropriate professional advice where necessary. Any decision to purchase, subscribe to or use a tool, platform, product or service is made at your own discretion and risk.

Comments, guest contributions and other third-party materials appearing on our channels represent the views of their authors. Ostadji does not necessarily endorse or verify them and may moderate, edit, restrict or remove them at its discretion.

7. Affiliate Links, Sponsorships and Commercial Relationships

Some Content may contain affiliate, referral, tracked or promotional links. If you click such a link or purchase, register for or subscribe to a third-party product or service, Ostadji may receive a commission, referral fee, account credit, free access, discount or another commercial benefit.

Where required by applicable law or platform rules, we will identify the commercial relationship using a clear disclosure such as “affiliate link”, “sponsored”, “paid partnership”, “#ad” or “we may earn a commission”. Sponsored or paid promotional content will also be identified through any disclosure tools required by the relevant platform.

An affiliate, referral or sponsorship relationship does not make Ostadji the seller, supplier, developer or provider of the third-party product or service and does not constitute a guarantee or warranty. We do not control third-party pricing, features, performance, availability, security, data handling, billing, renewals, customer support, cancellation or refund practices.

Any description, comparison, review or recommendation reflects our good-faith view and the information available to us at the time of publication. We may not have tested every feature, subscription plan or alternative. The existence of an affiliate or commercial relationship may create a financial benefit for Ostadji, and you should not rely solely on our recommendation.

Before purchasing or subscribing, you should conduct your own research, inspect the current product or service, compare alternatives, read the third party’s terms and conditions, privacy policy, pricing, renewal, cancellation and refund terms, and use any available trial or demonstration where appropriate.

Any transaction entered into through an affiliate or third-party link is between you and the relevant third party. Questions, complaints, cancellations, refunds and support requests relating to that transaction must be directed to the third party. To the maximum extent permitted by law, Ostadji is not responsible for loss, damage, cost or claim arising from the purchase, subscription to or use of a third-party product or service.

8. Our Services

The exact scope of any professional Service will be described in the relevant proposal, package, order form or statement of work.

Services may include strategy, research, audits, campaign setup, campaign management, content, creative production, website development, landing pages, tracking, analytics, automation, marketplace activation, training or consultancy.

Unless expressly included in writing, our fees do not include:

  • advertising or media spend;
  • domain-registration fees;
  • website hosting;
  • paid themes, applications or plugins;
  • stock photographs, music, licences or production expenses;
  • payment-gateway charges;
  • software subscriptions;
  • influencer or creator fees;
  • platform, marketplace or listing fees;
  • printing, courier or travel expenses;
  • taxes, government fees or permits; or
  • third-party professional services.

You are responsible for approving all external costs before they are incurred.

9. Client Responsibilities

To enable us to deliver Services, you agree to:

  • provide accurate business information;
  • provide timely access to accounts, websites, platforms and systems;
  • provide requested content, images, trademarks and brand materials;
  • review and approve deliverables within the requested timeframe;
  • disclose material restrictions, regulations and compliance requirements;
  • maintain sufficient advertising budgets and account balances;
  • respond to customer enquiries and leads promptly;
  • maintain appropriate sales, fulfilment and customer-service processes;
  • obtain necessary licences, approvals and consents; and
  • ensure your products, services, offers and claims comply with applicable laws.

You warrant that you have the right to provide any content, data, logo, photograph, video, database, customer list or other material supplied to Ostadji.

We are not responsible for delay, additional cost or reduced performance caused by incomplete information, delayed approvals, inaccessible accounts, insufficient budgets, inaccurate data or failures within your own sales or operational processes.

Project timelines may be extended where your response, content or approval is delayed.

10. Advertising and Campaign Management

Advertising results depend on factors outside Ostadji’s direct control, including:

  • your offer and pricing;
  • competition;
  • market demand;
  • audience behaviour;
  • seasonality;
  • advertising budget;
  • platform algorithms;
  • website performance;
  • tracking accuracy;
  • sales follow-up;
  • product availability;
  • account history; and
  • platform approval or enforcement decisions.

Advertising platforms may reject advertisements, restrict targeting, suspend accounts, change policies or adjust delivery without notice.

Ostadji does not control Meta, Google, TikTok, LinkedIn, Amazon, Noon, Shopify or any other third-party platform and is not responsible for their decisions, outages, account restrictions or policy changes.

Unless otherwise agreed, advertising spend is paid directly by the client and is separate from Ostadji’s management fees.

11. Programs and Training

Ostadji Programs may be delivered:

  • live online;
  • in person;
  • through corporate workshops;
  • through mentoring sessions;
  • through recorded materials;
  • through assignments and practical exercises; or
  • through a combination of these methods.

The Program page will normally state the Program fee, duration, schedule, format, curriculum, language and included benefits.

Your place is confirmed only after:

  • the required payment has been received;
  • your registration has been accepted; and
  • you have received confirmation from Ostadji.

Program places may be limited and are offered subject to availability.

12. Technical Requirements

You are responsible for having:

  • a reliable internet connection;
  • a suitable computer or mobile device;
  • a functioning browser;
  • access to the required meeting platform;
  • an appropriate email address;
  • access to any required advertising or business accounts; and
  • basic equipment required for participation.

Ostadji is not responsible for missed sessions or reduced participation caused by your internet connection, device, local restrictions, software configuration or other technical issue outside our control.

13. Fees, Prices and Taxes

Prices are displayed in the currency stated on the relevant page, invoice or proposal.

Applicable VAT or other taxes will be charged where legally required. Where a price is stated as inclusive of tax, this will be indicated on the page or invoice.

We may change prices at any time. A price change will not normally affect a confirmed order for which payment has already been received.

Promotional prices, discount codes and limited-time offers:

  • may have specific eligibility requirements;
  • are valid only for the stated period;
  • cannot normally be combined;
  • have no cash value;
  • may be withdrawn before purchase; and
  • may be subject to additional written conditions.

14. Payments

Payment may be accepted through methods displayed at checkout, including credit or debit card, Apple Pay, bank transfer or an approved payment provider.

Payments may be processed by third-party payment providers. Ostadji does not normally receive or store your complete card information.

You confirm that:

  • you are authorised to use the selected payment method;
  • the billing information provided is accurate;
  • sufficient funds are available; and
  • the payment is not fraudulent or unlawful.

You should retain copies of your transaction records, invoices and these Terms.

Where payment is made through an instalment or buy-now-pay-later provider, you may also be subject to that provider’s separate terms, charges and payment schedule.

15. Late or Failed Payments

Where an invoice or instalment is overdue, we may:

  • suspend access to Programs, materials or support;
  • pause campaigns or Services;
  • withhold deliverables;
  • remove access to accounts managed by us;
  • delay project timelines;
  • cancel future sessions; or
  • terminate the relevant engagement.

Suspension does not remove your obligation to pay amounts already due.

Reasonable recovery costs and any lawful late charges stated in the applicable agreement may be added to an overdue balance.

16. Program Money-Back Guarantee

Ostadji offers the following money-back guarantee for eligible live Programs:

This guarantee applies only to live educational Programs that Ostadji expressly identifies as eligible for the guarantee. It does not apply to professional Services, agency or consulting work, retainers, subscriptions, projects, corporate or customised training, commissioned workshops, one-to-one consultancy, digital products or self-paced content, unless Ostadji expressly confirms otherwise in writing before purchase.

You may request a 100% refund:

  • at any time before the Program begins; or
  • within 24 hours after the end of the first scheduled live session.

No reason is required.

The refund request must be sent by email to support@ostadji.com or through the official Ostadji WhatsApp number. The request should include your full name, Program name and payment details.

The 24-hour period is calculated from the end of the scheduled first live session, whether or not you attended that session.

No refund will be provided where the request is submitted after this period, except where required by applicable law.

After the refund period, Program fees become non-refundable because instructor time, Program materials, platform costs, administration and participant-support resources have been committed.

Upon approval of a refund:

  • your Program enrolment will be cancelled;
  • access to materials, recordings and community groups may be removed;
  • the refund will normally be made through the original payment method; and
  • processing may take up to 15 business days, excluding any additional processing time required by your bank or payment provider.

Third-party financing, payment-processing, currency-conversion or bank fees may be governed by the relevant provider’s terms and may not be recoverable from Ostadji.

17. Self-Paced and Downloadable Products

For downloadable templates, recordings, digital products or self-paced content, the specific refund policy shown on the product page will apply.

Where no separate policy is stated, the purchase becomes non-refundable once:

  • access has been granted;
  • the file has been downloaded;
  • the content has been viewed; or
  • delivery has otherwise begun,

except where a refund is required by law.

18. Service Cancellation and Refunds

Professional Services, retainers, subscriptions, projects, corporate or customised training and commissioned work are governed primarily by the cancellation and payment terms in the relevant proposal, Service Agreement, statement of work or order form.

The Program Money-Back Guarantee does not apply to Services.

Once a proposal, Service Agreement, statement of work or order form has been signed or otherwise accepted and Ostadji has commenced work, all setup fees, deposits, advance payments, retainers and other amounts paid for the commenced engagement are non-refundable, except where required by applicable law or expressly stated in the applicable agreement.

Work is considered to have commenced when Ostadji performs or allocates resources for any onboarding, discovery, consultation, meeting, strategy, research, planning, account review, account setup, creative work, content work, design, development, campaign work, training preparation, procurement or other activity connected with the engagement.

A change of mind, decision not to proceed, internal business change, failure to provide access, content, approvals or instructions, delay caused by the client, failure to use a deliverable, or dissatisfaction arising from results that were not guaranteed does not create a right to a refund.

Unless otherwise stated in writing:

  • fees for work completed, time allocated or resources committed remain payable;
  • approved third-party costs are non-refundable once incurred or committed;
  • advertising spend paid to platforms is non-refundable by Ostadji;
  • month-to-month recurring Services require 30 days’ written cancellation notice;
  • fixed-term projects, retainers and subscriptions remain subject to the agreed minimum commitment and cancellation terms;
  • the current billing period and any amount accrued before the effective cancellation date remain payable;
  • completed deliverables may be withheld until all outstanding amounts are paid; and
  • unused time, capacity or services do not automatically roll over or create a credit.

Where Ostadji cancels a paid Service without cause and has not delivered the corresponding work, we will refund the reasonable unused portion of the affected Ostadji service fee. Nothing in this section excludes a right or remedy that cannot legally be excluded.

19. Chargebacks and Payment Disputes

You agree to contact Ostadji and give us a reasonable opportunity to investigate a payment concern before initiating a chargeback.

A chargeback does not automatically cancel your contractual obligations.

Where a chargeback is found to be fraudulent, abusive or inconsistent with these Terms, we may suspend Services, revoke access and seek recovery of outstanding amounts and reasonable costs.

Nothing in this section prevents you from exercising lawful rights through your bank or payment provider.

20. Program Schedules and Changes

We may make reasonable changes to:

  • Program dates;
  • session times;
  • delivery platforms;
  • trainers or guest speakers;
  • session order;
  • curriculum;
  • examples, tools and software;
  • Program duration; or
  • learning materials.

Changes may be necessary because of trainer availability, technology, platform updates, participant numbers, illness, emergencies or other operational circumstances.

Where a significant change is made, we will use reasonable efforts to notify participants and provide an appropriate replacement session, recording, transfer or other remedy.

A change to a trainer, platform, tool or reasonable part of the curriculum does not automatically entitle a participant to a refund.

21. Missed Sessions, Transfers and Rescheduling

If you miss a session, you may use the recording or slides where these are included.

A missed session does not entitle you to:

  • a refund;
  • a private replacement session;
  • an extension of support; or
  • additional instructor time.

At our discretion, we may allow you to transfer to a future batch where:

  • you notify us promptly;
  • space is available;
  • the transfer is requested within the permitted period; and
  • any price difference or administration charge is paid.

Program enrolment may not be sold, shared or transferred to another person without our written approval.

22. Recordings and Participant Privacy

Live sessions may be recorded for:

  • participant access;
  • quality control;
  • internal training;
  • record keeping; or
  • delivery of the Program.

Where a session will be recorded, participants will be notified.

Your display name, voice, comments or video image may appear in a session recording. You may turn off your camera, adjust your display name or contact us in advance where you have a privacy concern.

We will not use identifiable participant footage, photographs, voice recordings, comments or testimonials in public advertising or promotional materials without the participant’s separate, express consent.

Participants are prohibited from independently recording, copying, livestreaming, photographing or distributing sessions without written permission.

23. Program Materials and Access

Program recordings, slides, worksheets, templates, prompts, frameworks, checklists and community resources are provided for your personal educational use.

Access may be time-limited. The applicable access period may be stated on the Program page, in your confirmation email or when materials are shared.

You are responsible for downloading permitted materials before access expires.

We do not guarantee indefinite access to:

  • Google Drive folders;
  • recordings;
  • community groups;
  • third-party platforms;
  • cloud files; or
  • expired Program resources.

24. Certificates

The certificates available depend on the Program in which you enrol.

An Ostadji Certificate of Participation or Completion may require:

  • full payment;
  • satisfactory attendance;
  • completion of required activities;
  • compliance with participant conduct requirements; and
  • completion of any assessment specified for the Program.

Certificates issued by Google, HubSpot or another third party are controlled by that organisation. You must satisfy its own assessment, account, identity, renewal and eligibility requirements.

Ostadji may provide preparation guidance but does not control and cannot guarantee:

  • that you will pass;
  • that a third party will issue a certificate;
  • the certificate’s validity period;
  • future renewal requirements;
  • platform availability; or
  • changes to a third party’s assessment.

Ostadji is not a university, degree-awarding institution or representative of Google, Meta, HubSpot or another third-party certification provider unless expressly stated otherwise.

25. Post-Program Support

Where 30 days of post-Program support is included, the support period begins on the date of the final scheduled Program session unless stated otherwise.

Support is limited to reasonable questions connected to the Program curriculum.

It does not include:

  • unlimited consultancy;
  • done-for-you campaign management;
  • daily meetings;
  • development work;
  • account management;
  • emergency support;
  • legal or financial advice;
  • guaranteed response times; or
  • work outside the Program’s subject matter.

Support availability may be subject to reasonable working hours, response times and fair-use limits.

Any one-to-one review included with a Program must be booked within the stated booking period. Missed or expired sessions may be forfeited.

26. Participant Conduct

You must behave professionally and respectfully during sessions, community groups and communications.

You must not:

  • harass, threaten or discriminate against another person;
  • disrupt a session;
  • share confidential participant information;
  • use community groups for unsolicited selling or recruitment;
  • impersonate another person;
  • share login details or Program access;
  • distribute Program materials;
  • upload malicious content;
  • infringe another person’s intellectual property; or
  • use the Program for illegal or abusive purposes.

We may issue a warning, mute, remove, suspend or permanently exclude a participant whose conduct breaches these Terms.

Serious or repeated misconduct may result in removal without refund, to the extent permitted by law.

27. No Guarantee of Results

Ostadji provides strategy, practical education, execution and professional support. We do not guarantee a specific commercial, educational or career outcome.

We do not guarantee:

  • a particular number of leads or sales;
  • a fixed cost per lead;
  • a specific return on advertising spend;
  • first-page search rankings;
  • acceptance by an advertising platform;
  • business growth or profitability;
  • job placement;
  • freelance income;
  • immigration or visa success;
  • internship placement;
  • promotion or salary increase;
  • successful certification;
  • funding or investment; or
  • any particular financial result.

Case studies, testimonials, examples and past performance demonstrate individual experiences. They do not guarantee that another client or participant will achieve the same outcome.

Your results depend on your own implementation, market, budget, offer, pricing, competition, effort, decisions and circumstances.

28. Artificial Intelligence and Automation

Some Services and Programs may use artificial intelligence, automation and generative tools.

You acknowledge that AI-generated output may:

  • contain errors;
  • be incomplete or outdated;
  • reproduce bias;
  • generate inaccurate claims;
  • require fact-checking;
  • require legal or regulatory review;
  • create intellectual-property concerns; or
  • be unsuitable for publication without human review.

You are responsible for reviewing and approving AI-generated content before using or publishing it.

Ostadji does not guarantee that AI output is unique, copyrightable, non-infringing, factually correct or suitable for a regulated purpose.

Automations may depend on third-party APIs, software and platforms. Their operation may be interrupted by changes, outages, limits, account restrictions or discontinued integrations.

29. Intellectual Property Owned by Ostadji

All rights in the Website and Ostadji materials remain owned by or licensed to Ostadji, including:

  • trademarks and logos;
  • Website design and copy;
  • Program recordings;
  • slides and worksheets;
  • frameworks and methodologies;
  • templates and prompts;
  • reports and dashboards;
  • strategies and processes;
  • code and automation structures;
  • graphics, videos and photographs;
  • databases and compilations;
  • blog posts, articles, newsletters and downloadable public resources;
  • videos, scripts, podcasts, social media posts, thumbnails and channel content; and
  • other original content.

Purchasing a Program or Service does not transfer ownership of Ostadji’s intellectual property.

You receive only a limited, personal, non-exclusive, non-transferable and revocable right to use the materials for their intended purpose.

You may not copy, reproduce, resell, license, publish, upload, distribute, modify, translate, create derivative products from or commercially exploit Ostadji materials without written permission.

30. Client Deliverables

Ownership of custom client deliverables will be governed by the applicable proposal or service agreement.

Unless otherwise stated:

  • ownership of final custom deliverables transfers only after full payment;
  • Ostadji retains ownership of its pre-existing tools, templates, know-how, frameworks, code and processes;
  • the client receives a licence to use incorporated Ostadji background materials as part of the final deliverable;
  • third-party assets remain subject to their original licence terms; and
  • working files, rejected concepts, drafts and internal materials remain Ostadji property.

31. Materials Provided by You

You retain ownership of materials that you provide to Ostadji.

You grant us a limited worldwide licence to access, reproduce, edit, adapt, transmit and use those materials as reasonably necessary to:

  • deliver the requested Services;
  • create campaigns and deliverables;
  • make technical backups;
  • communicate with approved suppliers; and
  • fulfil our contractual obligations.

You confirm that our authorised use of those materials will not violate the rights of another person.

32. Confidentiality

Each party must protect confidential information received from the other party and use it only for the purpose for which it was provided.

Confidential information may include:

  • campaign data;
  • pricing;
  • customer information;
  • passwords;
  • unpublished content;
  • business strategies;
  • financial information;
  • reports;
  • proposals;
  • trade secrets; and
  • technical information.

Confidentiality does not apply to information that:

  • is already public through no breach;
  • was lawfully known before disclosure;
  • is independently developed;
  • is received lawfully from another source; or
  • must be disclosed by law or a competent authority.

33. Testimonials, Reviews and Portfolio Use

We may invite you to provide feedback, a review or testimonial.

Submitting a testimonial does not automatically give Ostadji unlimited permission to use your personal image, name or company logo.

Where identifiable information will be used publicly, we will obtain appropriate permission or rely on another lawful basis.

For professional client work, portfolio and case-study use will be governed by the relevant agreement or separate client approval. Confidential information will not knowingly be published without permission.

34. Acceptable Use of the Website

You must not:

  • attempt to gain unauthorised access to our systems;
  • introduce malware, viruses or harmful code;
  • scrape or copy Website content through automated means;
  • interfere with Website performance;
  • bypass access restrictions;
  • use false identity or payment information;
  • use the Website for fraud or unlawful activity;
  • reverse engineer protected technology;
  • infringe intellectual-property rights; or
  • use our content to create a competing product or Program.

We may block or restrict access where we reasonably believe misuse, fraud, security risk or unlawful activity has occurred.

35. Third-Party Websites and Services

Our Website and Services may refer or link to third-party platforms, software, payment providers, certification providers, social networks or websites.

You use third-party services at your own risk and should review their applicable terms.

36. Privacy and Cookies

Our collection and use of personal information are governed by our Privacy Policy and Cookie Policy.

By using the Website or submitting information, you acknowledge that your information may be processed as described in those policies.

Where we process personal information on behalf of a business client, the responsibilities of each party may also be set out in the applicable service agreement or data-processing terms.

37. Security

We take reasonable organisational and technical measures to protect our systems and information.

However, no Website, cloud platform, electronic communication or internet transmission is completely secure.

You are responsible for:

  • protecting your passwords;
  • restricting access to your devices;
  • notifying us about suspected unauthorised access;
  • maintaining appropriate backups; and
  • following reasonable security instructions.

We are not responsible for a security incident caused by your compromised credentials, insecure systems or unauthorised sharing of access.

38. Suspension and Termination

We may suspend or terminate access to a Program, Service, account or Website feature where:

  • payment is overdue;
  • these Terms are breached;
  • unlawful activity is suspected;
  • another person’s rights may be affected;
  • continued delivery creates a security or legal risk;
  • a third-party platform restricts the relevant account;
  • abusive behaviour occurs; or
  • termination is permitted under a separate agreement.

Termination does not affect:

  • rights already accrued;
  • outstanding payment obligations;
  • confidentiality;
  • intellectual-property rights;
  • limitations of liability; or
  • provisions intended to continue after termination.

39. Disclaimer of Warranties

To the maximum extent permitted by law, the Website, Programs and Services are provided on an “as available” basis.

We do not warrant that:

  • the Website will always be uninterrupted or error-free;
  • every technical issue will be corrected immediately;
  • a third-party platform will remain available;
  • Content will always be complete, accurate or suitable for a particular decision;
  • information will always be completely current;
  • Program materials will meet every individual expectation; or
  • use of a Service will produce a specific result.

Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.

40. Limitation of Liability

To the maximum extent permitted by applicable law, Ostadji will not be liable for indirect, incidental, special, exemplary or consequential loss, including:

  • loss of profit;
  • loss of revenue;
  • loss of opportunity;
  • loss of business;
  • loss of goodwill;
  • loss of anticipated savings;
  • loss of data; or
  • interruption of operations.

Ostadji will not be liable for loss arising from:

  • third-party platforms;
  • advertising-account suspensions;
  • algorithm or policy changes;
  • inaccurate information supplied by you;
  • delayed approvals;
  • insufficient advertising budgets;
  • poor lead follow-up;
  • unauthorised account access caused by you;
  • decisions made from unverified AI output;
  • reliance on Content without independent verification;
  • purchases, subscriptions or decisions made through affiliate, referral or third-party links;
  • changes to the pricing, features, availability, security, policies or terms of third-party tools or services; or
  • events outside our reasonable control.

Where liability cannot legally be excluded, Ostadji’s total aggregate liability for a one-time Program or project will not exceed the Ostadji fees paid for the affected Program or project. For recurring Services, Ostadji’s total aggregate liability will not exceed the Ostadji service fees paid during the six months immediately preceding the event giving rise to the claim.

Advertising spend, taxes and third-party expenses are not counted as Ostadji service fees for this purpose.

This limitation does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or another liability that cannot legally be limited.

41. Indemnity

To the extent permitted by law, you agree to indemnify Ostadji, its owners, employees and contractors against third-party claims, losses and reasonable costs arising from:

  • materials supplied by you;
  • your products or services;
  • misleading or unlawful claims approved by you;
  • infringement of intellectual-property rights;
  • your breach of these Terms;
  • misuse of Program materials;
  • unlawful advertising or data practices;
  • violation of platform rules; or
  • your negligence, fraud or misconduct.

This obligation does not apply to the extent a claim was directly caused by Ostadji’s fraud, wilful misconduct or material breach.

42. Force Majeure

Neither party will be liable for delay or failure caused by events beyond reasonable control, including:

  • natural disasters;
  • fire or flood;
  • epidemic or pandemic;
  • war, terrorism or civil unrest;
  • government action;
  • power or internet failure;
  • strikes;
  • platform-wide outages;
  • cyberattacks;
  • transport disruption;
  • illness or emergency trainer unavailability; or
  • failure of critical third-party infrastructure.

The affected party will use reasonable efforts to reduce the impact and resume performance.

Where practical, Ostadji may reschedule the affected session or Service.

43. Complaints

Please send complaints to support@ostadji.com with:

  • your name;
  • Program or Service;
  • order or invoice information;
  • a clear description of the issue; and
  • the resolution requested.

We will aim to acknowledge and review complaints within a reasonable period.

Both parties agree to attempt good-faith resolution before commencing formal proceedings.

44. Governing Law and Jurisdiction

These Terms are governed by the federal laws of the United Arab Emirates and the applicable laws of [EMIRATE].

If a dispute cannot be resolved through good-faith discussion within 30 days, it will be submitted to the competent courts of [EMIRATE], United Arab Emirates, unless the parties agree in writing to another lawful dispute-resolution method.

Nothing in these Terms prevents a consumer from exercising any mandatory right or submitting a complaint to a competent consumer-protection authority.

  • payment arrangements; or
  • operational improvements.

Material changes will apply prospectively unless immediate application is required by law or necessary for security.

Your continued use after the effective date of an update constitutes acceptance of the updated Terms.

Changes will not remove rights already earned under a confirmed order unless required by law or agreed with you.

46. General Provisions

Entire agreement: These Terms, together with applicable proposals, order forms and policies, form the agreement between you and Ostadji regarding the relevant use or purchase.

Severability: If part of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

No waiver: A failure to enforce a provision immediately does not waive the right to enforce it later.

Assignment: You may not transfer your rights or obligations without our written approval. We may transfer our rights as part of a lawful sale, restructuring or transfer of the business.

Independent contractor: Ostadji acts as an independent service provider. Nothing creates an employment, partnership, franchise, fiduciary or joint-venture relationship.

Headings: Headings are included for convenience and do not limit the meaning of any provision.

Survival: Payment, confidentiality, intellectual property, liability, indemnity and dispute provisions survive termination.
